Item 8.01 Other Events.

On October 30, 2023, the Board of Trustees of Seritage Growth Properties (the "Company") declared a cash dividend of $0.4375 per share of the Company's 7.00% Series A Cumulative Redeemable Preferred Shares. The preferred dividend will be paid on January 16, 2024 to holders of record on December 29, 2023.
