This Schedule 14D-9 filing consists of the following document related to the proposed acquisition of Urgent.ly Inc., a Delaware corporation (the “Company”), pursuant to the terms of the Agreement and Plan of Merger, dated as of March 13, 2026 (the “Merger Agreement”), by and among the Company, Agero, Inc., a Nevada corporation (“Parent”), and Medford Hawk, Inc., a Delaware corporation and a wholly owned subsidiary of Parent (“Purchaser”).
