(the “Company”), pursuant to the terms of an Agreement and Plan of Merger, dated as of May 18, 2025, by and among the Company, TransDigm Inc. (“Parent”), and TDG Rise Merger Sub, Inc. (“Purchaser”), as amended by Amendment No. 1 thereto dated as of May 28, 2025.
