	This report on Schedule 13G (this “Schedule 13G”) is being jointly filed by (i) Park West Asset Management LLC, a Delaware limited liability company (“PWAM”), (ii) Park West Investors Master Fund, Limited, a Cayman Islands exempted company (“PWIMF”) and (iii) Peter S. Park (“Mr. Park” and, collectively with PWAM and PWIMF, the “Reporting Persons”).

	PWAM is organized under the laws of the State of Delaware. PWIMF is a Cayman Islands exempted company. Mr. Park is a citizen of the United States.

*PWAM is the investment manager to Park West Investors Master Fund, Limited, a Cayman Islands exempted company (“PWIMF”), and Park West Partners International, Limited, a Cayman Islands exempted company (“PWPI” and collectively with PWAM and PWIMF, the “PW Funds”). Mr. Park, through one or more affiliated entities, is the controlling manager of PWAM.

As of October 27, 2021, PWIMF held 2,340,991 shares of Class A Stock and warrants (“Warrants”) to purchase up to 343,283 shares of Class A Stock and PWPI held 226,212 shares of Class A Stock and Warrants to purchase up to 33,759 shares of Class A Stock. The Warrants are not currently exercisable within 60 days of this report. As a result, PWAM and Mr. Park are deemed not to beneficially own any shares of Class A Stock underlying the Warrants. As of October 27, 2021, PWAM and Mr. Park may be deemed to beneficially own 2,567,203 shares of Class A Stock of the Company held in the aggregate by the PW Funds.

The reported beneficial ownership percentage is based upon approximately 41,255,000 shares of Class A Stock issued and outstanding as of August 11, 2021, based on information reported by the Company in its Quarterly Report on Form 10-Q filed with the Securities and Exchange Commission on August 12, 2021.
