This report on Schedule 13G (this “Schedule 13G”) is being jointly filed by (i) Park West Asset Management LLC, a Delaware limited liability company (“PWAM”), (ii) Park West Investors Master Fund, Limited, a Cayman Islands exempted company (“PWIMF”) and (iii) Peter S. Park (“Mr. Park” and, collectively with PWAM and PWIMF, the “Reporting Persons”).

* PWAM is the investment manager to PWIMF and Park West Partners International, Limited, a Cayman Islands exempted company (“PWPI”, and together with PWIMF, the “PW Funds”). Mr. Park, through one or more affiliated entities, is the controlling manager of PWAM.

The foregoing excludes 450,670 shares of Common Stock issuable upon conversion of 0.75% Convertible Senior Notes due 2026 (“2026 Convertible Notes”) held by PWIMF, 22,197 shares of Common Stock issuable upon conversion of 2026 Convertibles Notes held by PWPI and 1,659,417 shares of Common Stock issuable upon the conversion of 6.75% Convertible Notes due 2028 (“2028 Convertible Notes”) held by PWIMF and 190,379 shares of Common stock issuable upon the conversion of 2028 Convertible Notes held by PWPI. The 2026 Convertible Notes and 2028 Convertible Notes are not convertible within 60 days of the date hereof, and are, therefore, not beneficially owned by the Reporting Persons.

The reported beneficial ownership percentage is based upon 98,431,801 shares of Common Stock issued and outstanding as of August 4, 2023, based on information reported by the Company in its Quarterly Report on Form 10-Q filed with the Securities and Exchange Commission on August 9, 2023.
