As of December 31, 2021 and 2020, the Reporting Persons beneficially owned in the aggregate 5,450,314 shares of Common Stock, representing approximately 7.0% of the shares of Common Stock outstanding (based on 77,768,116 shares outstanding as of October 31, 2021, as reported in the Issuer’s Form 10-Q filed with the Securities and Exchange Commission on November 4, 2021).
