ITEM 6. OWNERSHIP OF MORE THAN FIVE PERCENT ON BEHALF OF ANOTHER PERSON

Bleichroeder LP ("Bleichroeder"), an investment adviser registered under Section 203 of the Investment Advisers Act of 1940, is deemed to be the beneficial owner of 4,971,385 shares, or 19.9%, of the common stock ("Common Stock") believed to be outstanding. The 4,971,385 shares include 2,196,389 shares of Common Stock, 275,000 shares of Common Stock issuable upon exercise of warrants, and 2,499,996 shares of Series B Non-Voting Convertible Preferred Stock (the "Preferred Stock"). In accordance with the Warrant Agreement and Preferred Stock Agreement, exercise of the warrants and Preferred Stock are subject to a Beneficial Ownership Limitation (as defined in the agreements) of 19.9% of the number of shares of Common Stock outstanding immediately after giving effect to the issuance of shares of Common Stock issuable upon exercise. If there was no 19.9% limit on the exercise of warrants and Preferred Stock, Bleichroeder would be deemed to be the beneficial owner of 8,500,686 shares of Common Stock, representing 29.8% of the outstanding shares of Common Stock. 21 April Fund Ltd., a Cayman Islands company for which Bleichroeder acts as investment adviser, holds 1,561,404 shares, or 7.0% of Common Stock believed to be outstanding. 21 April Fund Ltd. also holds 4,800,246 Preferred Stock and 192,500 exercisable warrants of Identiv. 21 April Fund Ltd. holds additional warrants and Preferred Stock above the 19.9% limit, which would make 21 April Fund Ltd.'s total beneficial ownership 6,554,150 shares, or 24.1%, if there was no 19.9% limit. 21 April Fund, LP, a Delaware limited partnership for which Bleichroeder acts as investment adviser, may be deemed to beneficially own 439,985 common shares, 1,229,050 preferred shares, and 82,500 warrants, which equates to 7.4% of the Common Stock. Clients of Bleichroeder have the right to receive and the ultimate power to direct the receipt of dividends from, or the proceeds of the sale of, such securities.
