Please refer to Item 9 on each cover sheet for each reporting person. GoodRock, LLC is controlled by James F. Park, who indirectly has voting and dispositive power over the 7,305,133 common shares held by GoodRock, LLC. Rows 5, 7 and 9 of the cover sheet for James F. Park include 350,938 shares that Mr. Park received in February 2023 relating to his prior services as chief executive of the Company, pursuant to the employment agreement between Mr. Park the Company and that certain transition agreement entered into between Mr. Park and the Company in connection with his departure as chief executive officer. As of December 31, 2022, 602,400 shares over which James Franklin Park has direct or indirect voting or dispositive power have been pledged pursuant to lending arrangements.
