(a) Amount Beneficially Owned: 1,426,049 which consists of 1,249,289 shares owned individually by the reporting person as of December 31, 2021, no options to purchase shares at December 31, 2021 or within 60 days and 176,760 shares owned by spouse.

(b) Percent of Class: 10.4% based on 13,762,463 shares of the Issuer’s common stock outstanding on December 31, 2021 as reported in the Issuer’s Form 10-Q for the quarter ended December 31, 2021 and including all 1,426,049 shares that could be deemed to be beneficially owned by Mr. Roth.

(ii) Shared power to vote or direct the vote: 176,760
