	The name of the issuer is Avalon Acquisition Inc. (the "Company").

	The Company's principal executive offices are located at 2 Embarcadero Center, 8th Floor, San Francisco, CA 94111.

	This statement is filed by Highbridge Capital Management, LLC ("Highbridge" or the "Reporting Person"), a Delaware limited liability company and the investment adviser to certain funds and accounts (the "Highbridge Funds"), with respect to the shares of Class A Common Stock (as defined in Item 2(d) below) directly held by the Highbridge Funds.

	The filing of this statement should not be construed as an admission that any of the forgoing persons or the Reporting Person is, for the purposes of Section 13 of the Act, the beneficial owner of the shares of Class A Common Stock reported herein.

	The percentages set forth herein are calculated based upon 20,855,250 shares of Class A Common Stock reported to be outstanding as of November 10, 2022, as reported in the Company’s Quarterly Report on Form 10-Q for the quarterly period ended September 30, 2022 filed with the Securities and Exchange Commission on November 10, 2022.
