See Items 5-9 and 11 of the cover page. The shares of Common Stock beneficially owned by the reporting person include 1,000,000 shares issuable on exercise of warrants to purchase Common Stock of the Issuer. The percentages reported in this Schedule 13G are based on 34,800,693 shares of Common Stock outstanding after the closing of the offering of shares of Common Stock as reported in the Prospectus Supplement filed by the Issuer on November 18, 2022.
