After acquiring beneficial ownership of more than 5% of the outstanding Common Stock on May 26, 2022, the reporting persons ceased to be beneficial owners of more than 5% of the outstanding Common Stock by the date of this filing.

The calculation of the foregoing percentage is based on 64,570,649 shares of the Issuer’s Common Stock outstanding, which was calculated by taking the 79,439,118 shares of the Issuer’s Common Stock outstanding as of April 22, 2022, as reported in the Issuer’s Form 10-Q filed with the Securities and Exchange Commission on April 25, 2022, and deducting 14,868,469 shares of the Issuer’s Common Stock accepted by the Issuer in a tender offer that expired on May 27, 2022, as reported by the Issuer in a press release dated June 2, 2022.
