Based on 14,375,000 outstanding Class A Ordinary Shares, par value $0.0001 per share of the Issuer (the “Class A Ordinary Shares”) and Units each consisting of one Class A Ordinary Share and one-third of a Warrant to acquire one Class A Ordinary Share (the “Units”) outstanding as of November 15, 2021 as reported in the Issuer’s Form 10-Q filed with the Securities and Exchange Commission (the “SEC”) on November 26, 2021. All Units are expressed herein in terms of underlying Class A Ordinary Shares.
