The numbers reported in Item 4 reflect beneficial ownership of Issuer’s common stock as of February 4, 2022. The ownership percentage reported is based on 96,751,102 shares of Issuer’s common stock outstanding as of February 4, 2022.

Ownership of More than 5 Percent on Behalf of Another Person.

Consists of (i) 7,563,375 shares of common stock held by Mr. Springer, (ii) 2,474,001 shares of common stock held by the DS 2021 GRAT, (iii) 329,867 shares of common stock held by the KC 2021 Trust, (iv) 247,400 shares held by the JT 2021 Trust, (v) 247,400 shares held by the SF 2021 Trust and (vi) 32,987 shares of common stock held by the KNS 2021 Trust. With respect to the DS 2021 GRAT, Mr. Springer (a) is the sole trustee, (b) has sole voting and dispositive power with respect to the shares held by the trust and (c) has sole power to acquire for himself any asset held in the trust, including the shares, by substituting other property of equivalent value. With respect to the KC 2021 Trust, the JT 2021 Trust, the SF 2021 Trust and the KNS 2021 Trust, Mr. Springer has sole power to acquire for himself any asset held in the trust, including the shares, by substituting other property of equivalent value.

The numbers reported in Item 6 reflect beneficial ownership of Issuer’s common stock as of February 4, 2022.
