The shares of Common Stock beneficially owned by the reporting person consist of 735,294 shares of Common Stock, Class A Warrants to acquire 735,294 shares of Common Stock, Class B Warrants to acquire 735,294 shares of Common Stock and Class C Warrants to acquire 735,294 shares of Common Stock. The Class A Warrants, Class B Warrants and Class C Warrants are subject to a 9.99% beneficial ownership limitation. The percentages reported in this Schedule 13G are based on 8,477,801 shares of Common Stock outstanding following the completion of the offering of Common Stock Units reported in the Prospectus filed by the Issuer on February 9, 2024.
