As of September 26, 2022, 683 Capital Partners, LP beneficially owned 1,550,649 shares of Common Stock (excluding 202,589 shares of Common Stock issuable upon the exercise of warrants that are not exercisable within 60 days).

683 Capital Management, LLC, as the investment manager of 683 Capital Partners, LP, may be deemed to have beneficially owned the 1,550,649 shares of Common Stock beneficially owned by 683 Capital Partners, LP.

Ari Zweiman, as the Managing Member of 683 Capital Management, LLC, may be deemed to have beneficially owned the 1,550,649 shares of Common Stock beneficially owned by 683 Capital Management, LLC.

The following percentage is based on 28,352,000 shares of Common Stock outstanding as of August 10, 2022, as disclosed in the Issuer’s Quarterly Report on Form 10-Q filed with the Securities and Exchange Commission on August 10, 2022.

As of September 26, 2022, the Reporting Persons may be deemed to have beneficially owned approximately 5.5% of the outstanding Common Stock.
