		The Reporting Persons were each the beneficial owner of the 2,495,955 shares of Common Stock held by Greenhouse through the accounts of certain private funds and managed accounts advised by Greenhouse.

		The Reporting Persons were each the beneficial owner of 6.6% of the shares of Common Stock, based on 37,586,031 shares of Common Stock outstanding as of November 3, 2023, as reported in the Issuer’s Form 10-Q filed with the Securities and Exchange Commission on November 8, 2023.
