	As of December 31, 2020, TIG Advisors, LLC and Michael Tiedemann were deemed to be the beneficial owner of 2,435,927 shares of Common Stock, $0.0001 par value per share (“Common Stock”).

	As of December 31, 2020, TIG Advisors, LLC and Michael Tiedemann were deemed to be the beneficial owner of 5.8% of the Issuer’s outstanding Common Stock.

	(i)	Sole power to vote or to direct the vote
		TIG Advisors, LLC has sole voting power with respect to 0 shares of the Issuer’s Common Stock. Michael Tiedemann has sole voting power with respect to 0 shares of the Issuer’s Common Stock.
	(ii)	Shared power to vote or to direct the vote
		TIG Advisors, LLC has shared voting power with respect to 2,435,927 shares of the Issuer’s Common Stock. Michael Tiedemann has shared voting power with respect to 2,435,927 shares of the Issuer’s Common Stock.
