	This report on Schedule 13G (this “Schedule 13G”) is being jointly filed by (i) Park West Asset Management LLC, a Delaware limited liability company (“PWAM”), (ii) Park West Investors Master Fund, Limited, a Cayman Islands exempted company (“PWIMF”) and (iii) Peter S. Park (“Mr. Park” and, collectively with PWAM and PWIMF, the “Reporting Persons”).

Item 2(c). Citizenship:
	PWAM is organized under the laws of the State of Delaware. PWIMF is a Cayman Islands exempted company. Mr. Park is a citizen of the United States.

	Class A Common Stock, par value $0.0001 per share (the “Common Stock”).

	As of the date of this Schedule 13G, a CUSIP number for the Common Stock is not available. Initially, each of the Common Stock and warrants (“Warrants”) to purchase shares of Common Stock will trade as a unit (“Unit”). The CUSIP number for the Units is 81787X205.

* PWAM is the investment manager to PWIMF and Park West Partners International, Limited, a Cayman Islands exempted company (“PWPI”, and together with PWIMF, the “PW Funds”). Mr. Park, through one or more affiliated entities, is the controlling manager of PWAM.

As of December 18, 2020, PWIMF held 1,455,655 shares of Common Stock and Warrants to purchase common stock up to 727,828 shares of Common Stock and PWPI held 144,345 shares of Common Stock and Warrants to purchase up to 72,172 shares of Common Stock. The Warrants are not currently exercisable within 60 days of this report. As a result, for purposes of Reg. Section 240.13d-3, PWAM, PWIMF, PWPI and Mr. Park are currently deemed not to beneficially own any shares of Common Stock underlying the Warrants. As of December 18, 2020, PWAM and Mr. Park may be deemed to beneficially own 1,600,000 shares of Common Stock held in the aggregate by the PW Funds.

The Common Stock is currently held as Units, with each Unit consisting of one share of Common Stock and one-half of one Warrant. Each whole Warrant entitles the holder to purchase one share of Common Stock at an exercise price of $11.50 per share.

The reported beneficial ownership percentage is based upon 25,875,000 shares of Common Stock issued and outstanding as of December 22, 2020, based on information reported by the Company in its Current Report on Form 8-K filed with the Securities and Exchange Commission on December 30, 2020.
