Explanatory Note

Capitalized terms used but not defined in this Amendment No. 24 have the same meanings ascribed to them in the Original Schedule 13D. Except as specifically provided herein, this Amendment No. 24 does not modify any of the information previously reported in the Original Schedule 13D.

The tender offer by Compagnie Maritime Belge NV, a public limited liability company (“naamloze vennootschap”) under Belgian law (“CMB” or the “Offeror”), one of the Reporting Persons referred to in this Schedule 13D, commenced on February 14, 2024 and expired on March 15, 2024. This Schedule 13D is for informational purposes only, and is neither an offer to purchase nor a solicitation of an offer to sell any Ordinary Shares of the Issuer or any other securities. The Offeror filed a Tender Offer Statement on Schedule TO (the “Tender Offer Statement”) with the Commission, and the Issuer filed a Solicitation/Recommendation Statement on Schedule 14D-9 (the “Schedule 14D-9”) with the Commission relating to the U.S. Offer, which was only being made pursuant to the Offer to Purchase dated February 14, 2024, as amended and supplemented from time to time (the “Offer to Purchase”), and the related Letter of Transmittal (the “Letter of Transmittal”). The Offer to Purchase, the related Letter of Transmittal and the Issuer’s Schedule 14D-9 and other filings related to the U.S. Offer are available for free at the Commission’s website at www.sec.gov.

Item 3. Source and Amount of Funds or Other Consideration

Item 3 of the Original Schedule 13D is hereby amended and supplemented by adding the information set forth in Item 4 of this Amendment No. 24, which is incorporated herein by reference.

Item 4. Purpose of the Transaction

Item 4 of the Original Schedule 13D is hereby amended and supplemented by adding the following information:

Expiration of the Offers

On March 18, 2024, CMB issued a press release (which is filed as Exhibit Q hereto and is incorporated by reference herein) announcing that the Initial Acceptance Period of the Offers expired on March 15, 2024, and a total of 69,241,955 Ordinary Shares were validly tendered and not withdrawn in the Offers. CMB has accepted all such Ordinary Shares for payment and will not conduct a voluntary subsequent offering period. Payment of the Offer Price for tendered shares will take place on April 3, 2024. Based upon the number of Ordinary Shares that CMB has accepted for payment, CMB may be deemed to beneficially own an aggregate of 177,147,299, or 87.60% of the outstanding Ordinary Shares, as of the date of this Schedule 13D. CMB will fund payments to tendering shareholders of approximately $1.24 billion with borrowings under the Bid Acquisition Facility. After giving effect to the settlement of the Offers, CMB expects the aggregate outstanding principal amount under the Facilities Agreement to be approximately $1.54 billion.

Item 5 of the Original Schedule 13D is hereby amended and amended and supplemented by adding the following information:

The percentage of outstanding Ordinary Shares that may be deemed to be beneficially owned by each Reporting Person is set forth on line 13 of such Reporting Person’s cover sheet and is incorporated herein. Such percentage was calculated for each Reporting Person based on 202,233,997 Ordinary Shares outstanding as of December 31, 2023 (not including treasury shares), as reported in the Issuer’s Current Report on Form 6-K furnished to the Securities and Exchange Commission on February 1, 2024.

(c)

On March 18, 2024, CMB accepted for payment 69,241,955 Ordinary Shares that were validly tendered and not withdrawn in the Offers. None of the Reporting Persons nor (to the Reporting Persons’ knowledge) any person set forth in Item 2 of the Original 13D, has engaged in any transactions in the Ordinary Shares during the past 60 days.

To the best knowledge of the Reporting Persons, no other person other than the Reporting Persons has the right to receive or the power to direct the receipt of dividends from, or the proceeds from the sale of, the securities beneficially owned by the Reporting Persons identified in this Item 5.
