This Amendment No. 1 (“Amendment No. 1”) relates to the Statement of Beneficial Ownership on Schedule 13D filed jointly by Magnetar Financial LLC, a Delaware limited liability company (“Magnetar Financial”), Magnetar Capital Partners LP, a Delaware limited partnership (“Magnetar Capital Partners”), Supernova Management LLC, a Delaware limited liability company (“Supernova Management”), and David J. Snyderman (“Mr. Snyderman”) with the SEC on January 22, 2024 (as amended by this Amendment No. 1, the “Schedule 13D”). This Amendment No. 1 is being filed to report that the Reporting Persons are no longer beneficial owners of more than 5% of the Shares. The filing of this Amendment No. 1 represents the final amendment to this Schedule 13D and constitutes an exit filing for the Reporting Persons.

Except as set forth below, all Items of the Schedule 13D remain unchanged. All capitalized terms not otherwise defined herein shall have the meanings ascribed to such terms in the Schedule 13D.

ITEM 4.

PURPOSE OF TRANSACTION

Item 4 of the Schedule 13D is hereby amended to add the following information for updating:

The Reporting Persons acquired the Shares reported herein on behalf of the Funds after the public announcement of the Merger Agreement (as defined below) for purposes of receiving the merger consideration described below upon consummation of the Merger (as described below).

Finally, on April 1, 2024, the Issuer consummated a merger (the “Merger”) pursuant to which each issued and outstanding Shares were submitted for the cash offering of $8.30 per share and the shares of Daeske, Inc. were delisted. Magnetar Financial submitted 2,546,713 shares for the merger consideration.

ITEM 5.

INTEREST IN SECURITIES OF THE ISSUER

Item 5(a)-(c) and (e) of the Schedule 13D is hereby amended to add the following information for updating:

(a)            As of the closing of the Merger on April 1, 2024, each of the Reporting Persons may have been deemed to have beneficial ownership of 0 Shares.

(b)            As of the closing of the Merger on April 1, 2024, each of the Reporting Persons may have been deemed to share the power to vote and direct the disposition of 0 Shares, which represented beneficial ownership of 0% of the Shares.

(c)            The response to Item 4 of this Amendment No. 1 is incorporated herein by reference. The Funds had no transactions in the Shares since the filing of the Schedule D on January 22, 2024.

(d)            As of April 1, 2024, the Reporting Persons ceased to be beneficial owners of more than five percent of the Shares.
