EXPLANATORY NOTE

This Registration Statement on Form S-8 is being filed by Target Hospitality Corp. (the “Registrant”) with the Securities Exchange Commission (the “Commission”) to register 4,000,000 additional shares of the Registrant’s common stock, par value $0.0001 per share (“Shares”), under the Target Hospitality Corp. 2019 Incentive Award Plan (the “Plan”) pursuant to the amendment of the Plan approved by the board of directors of the Registrant on March 10, 2026, and by the Registrant’s stockholders at the Registrant’s Annual Meeting of Stockholders on May 21, 2026. The Shares are in addition to the shares previously registered on the Registrant’s Registration Statements on Form S-8 with respect to the Plan filed with the Commission on May 20, 2019 (File No. 333-231621), May 25, 2022 (File No. 333-265195), and May 23, 2025 (File No. 333-287553) (together, the “Prior Registration Statements”). This Registration Statement relates to securities of the same class as those to which the Prior Registration Statements relate and is filed in accordance with General Instruction E to Form S-8. Accordingly, pursuant to General Instruction E to Form S-8, the contents of the Prior Registration Statements are incorporated herein by reference and made part of this Registration Statement, except as amended hereby.
