EXPLANATORY NOTE

Pursuant to General Instruction E of Form S-8, this Registration Statement on Form S-8 is filed by Rackspace Technology, Inc. (the “Registrant”) to register an additional 20,000,000 shares of the Registrant’s common stock under the Rackspace Technology, Inc. 2020 Equity Incentive Plan, as amended (the “Plan”), which increase was approved by the Registrant’s stockholders at the Registrant’s 2026 annual meeting of stockholders held on June 18, 2026.
