This Registration Statement on Form S-8 (this “Registration Statement”) is being filed for the purpose of registering an additional 9,025,700 shares of common stock, par value $0.00001 per share (“Common Stock”) of Prime Medicine, Inc. (the “Registrant”) available for issuance under the Registrant’s 2022 Stock Option and Incentive Plan, as amended (the “2022 Plan”).

These additional shares of Common Stock are of the same class as other securities relating to the 2022 Plan for which the Registrant’s Registration Statements on Form S-8 (File No. 333-267953, File No. 333-270400, File No. 333-277567, and File No. 333-2 85396), filed with the Securities and Exchange Commission (the “SEC”) on October 19, 2022, March 9, 2023, March 1, 2024, and February 28, 2025, respectively, are effective (collectively, the “Earlier Registration Statements”).
