REGISTRATION OF ADDITIONAL SECURITIES

Nerdy Inc. (the “Registrant”) is filing this Registration Statement on Form S-8 to register 10,748,713 additional shares of its Class A Common Stock under the Nerdy Inc. 2021 Equity Incentive Plan (the “Plan”), as amended, pursuant to the provisions of the Plan providing for an automatic increase on January 1, 2026, in the number of shares of Class A Common Stock, par value $0.0001 per share, reserved and available for issuance under the Plan. This Registration Statement relates solely to the registration of additional securities of the same class as other securities relating to the Plan for which a registration statement on this form relating to an employee benefit plan is effective. Pursuant to General Instruction E of Form S-8, this Registration Statement hereby incorporates by reference the contents of the registration statements on Form S-8 filed by the Registrant with the Securities and Exchange Commission (the “SEC”) on February 27, 2025 (Registration No. 333-285324), February 27, 2024 (Registration No. 333-277392), February 28, 2023 (Registration No. 333-270092), May 6, 2022 (Registration No. 333-264744), and November 29, 2021 (Registration No. 333-261401).
