EXPLANATORY NOTE

This registration statement on Form S-8 (this “Registration Statement”) is filed by JIADE LIMITED (the “Company”) to register 302,230 Class A ordinary shares, par value US$0.0001 per share (the “Class A Ordinary Shares”), that may be issued under the Company’s 2025 Equity Incentive Plan.

Our amended and restated memorandum and articles of association permit, to the fullest extent permissible under Cayman Islands law, indemnification of our directors (including any alternate director) and officers, and their personal representatives, against all actions, proceedings, costs, charges, expenses, losses, damages or liabilities incurred or sustained by them, other than by reason of their own dishonesty, willful default or fraud, in or about the conduct of our Company’s business or affairs (including as a result of any mistake of judgment) or in the execution or discharge of their duties, powers, authorities or discretion as directors or officers of our Company, including, without prejudice to the generality of the foregoing, any costs, expenses, losses or liabilities incurred by them in defending (whether successfully or otherwise) any civil proceedings concerning our Company or its affairs in any court whether in the Cayman Islands or elsewhere.
