EXPLANATORY NOTE

This Registration Statement is being filed by the Registrant in accordance with the requirements of Form S-8 under the Securities Act in order to register 58,000,000 Class A Ordinary Shares issuable pursuant to the Bit Brother Limited 2023 Equity Incentive Plan, (the “2023 Plan”) adopted by the Board of Directors of the Company.
