STATEMENT OF INCORPORATION BY REFERENCE

This Registration Statement on Form S-8 registers 15,030,034 additional Common Shares under the 2020 Share Option and Incentive Plan (the “2020 Plan”), as a result of the operation of an automatic annual increase provision therein, which added an aggregate 15,030,034 Common Shares on January 1, 2026 for which Registration Statements on Form S-8 were previously filed by the Registrant with the Securities and Exchange Commission. The additional shares are of the same class as other securities relating to the 2020 Plan for which the Registrant’s registration statements filed on Form S-8 on December 15, 2020 (File No. 333-251341), on February 25, 2022 (File No. 333-263025), on February 21, 2023 (File No. 333-269896), on February 20, 2024 (File No. 333-277192), and on February 27, 2025 (File No. 333-285351). The information contained in the Registrant’s registration statement filed on Form S-8 on December 15, 2020 (File No. 333-251341) is hereby incorporated by reference pursuant to General Instruction E, except to the extent supplemented, amended or superseded by the information set forth herein.
