TERMINATION OF REGISTRATION STATEMENT AND DEREGISTRATION OF UNSOLD COMMON STOCK

Foundation Building Materials, Inc., a Delaware corporation (the “Registrant”), is filing with the U.S. Securities and Exchange Commission (the “Commission”) this post-effective amendment (the “Post-Effective Amendment”) to deregister all shares of common stock, par value $0.001 per share, of the Registrant (the “Shares”), previously registered under the following Registration Statement on Form S-3 (the “Registration Statement”), together with any other securities registered thereunder:

•Registration No. 333-233026, filed with the Commission on August 5, 2019, registering 23,054,239 Shares.

Pursuant to the Agreement and Plan of Merger, dated as of November 14, 2020 (the “Merger Agreement”), by and among the Registrant, ASP Flag Intermediate Holdings, Inc., a Delaware corporation (“Holdings”), and ASP Flag Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of Holdings (“Merger Sub”), Merger Sub merged with and into the Registrant with the Registrant surviving the merger as a wholly owned subsidiary of Holdings (the “Merger”).

As a result of the Merger, the Registrant has terminated all offerings of its securities pursuant to the Registration Statement and, in accordance with undertaking made by the Registrant in the Registration Statement to remove from registration by means of a post-effective amendment any of the securities being registered which remain unsold at the termination of the offering, hereby removes and withdraws from registration all securities registered pursuant to the Registration Statement that remain unsold as of the date hereof. The Registration Statement is hereby amended, as appropriate, to reflect the deregistration of such securities.
