EXPLANATORY NOTE

Deregistration of Unsold Securities

This Post-Effective Amendment relates to the Registration Statement No. 333-264907 on Form S-3, filed by Zymergen Inc., a Delaware corporation (the “Company”), with the Securities and Exchange Commission (the “SEC”) on May 13, 2022, as amended by Amendment No. 1 to the Registration Statement filed with the SEC on May 31, 2022 (as amended, the “Registration Statement”). The Registration Statement pertains to the registration of an indeterminate number of (a) shares of common stock, (b) shares of preferred stock, (c) debt securities, (d) depositary shares, (e) warrants to purchase common stock, preferred stock, debt securities or depositary shares of the registrant, (f) purchase contracts and (g) units consisting of some or all of these securities (together, the “Securities”) up to a maximum aggregate public offering price of $200,000,000.

On October 19, 2022, pursuant to the Agreement and Plan of Merger dated as of July 24, 2022 (the “Merger Agreement”), by and between Ginkgo Bioworks Holdings, Inc., a Delaware corporation (“Parent”), Pepper Merger Subsidiary Inc., a Delaware corporation and an indirect wholly owned subsidiary of Parent (“Merger Sub”), and the Company, Merger Sub merged with and into the Company (the “Merger”), with the Company surviving the Merger as a wholly owned subsidiary of Parent.

As a result of the Merger and the related transactions contemplated by the Merger Agreement, the offerings of the Securities pursuant to the Registration Statement have been terminated. In accordance with an undertaking made by the Company in the Registration Statement to remove from registration, by means of a post-effective amendment, any of the Securities registered under the Registration Statement that remain unsold at the termination of the offering, the Company hereby removes from registration the Securities and terminates the effectiveness of the Registration Statement.
