DEREGISTRATION OF SECURITIES

This Post-Effective Amendment (the “Post-Effective Amendment”) filed by Proterra Inc. (the “Company”) relate to the Registration Statement on Form S-3 No. 333-268987, which was filed with the U.S. Securities and Exchange Commission (the “Commission”) on December 23, 2022, amended on January 19, 2023 and declared effective by the Commission on January 23, 2023, registering up to an aggregate amount of $500,000,000 of any combination of securities described therein, which includes shares of the Company’s common stock, par value $0.0001 per share, preferred stock, debt securities, warrants and units (the “Registration Statement”).

As previously disclosed on August 7, 2023, the Company and its subsidiary Proterra Operating Company, Inc. filed voluntary petitions (the “Chapter 11 Cases”) under Chapter 11 of title 11 of the United States Code in the United States Bankruptcy Court for the District of Delaware. As a result of the Chapter 11 Cases, the Company has terminated any and all offerings and sales of securities pursuant to the Registration Statement. In accordance with an undertaking made by the Company in the Registration Statement to remove from registration, by means of a post-effective amendment, any of the securities of the Company that had been registered under the Registration Statement which remain unsold at the termination of such offering, the Company hereby removes from registration by means of this Post-Effective Amendment any and all such securities registered but unsold under the Registration Statement. The Registration Statement is hereby amended, as appropriate, to reflect the deregistration of such securities and the Company hereby terminates the effectiveness of the Registration Statement.
