DEREGISTRATION OF SECURITIES

This Post-Effective Amendment No. 1 (this “Post-Effective Amendment”), relates to the Registration Statement on Form S-3, Registration File No. 333-267674 (the “Registration Statement”), filed by Longboard Pharmaceuticals, Inc., a Delaware corporation (the “Company”), with the Securities and Exchange Commission on September 30, 2022 to register the sale from time to time of up to $150,000,000 in total of the following securities: (i) the Company’s voting common stock, par value $0.0001 per share; (ii) the Company’s preferred stock, par value $0.0001 per share; (iii) debt securities; and (iv) warrants for any of the foregoing securities (collectively, the “Registered Securities”). The Registration Statement was declared effective on October 11, 2022.

On December 2, 2024, pursuant to the Agreement and Plan of Merger (the “Merger Agreement”), dated as of October 14, 2024, among the Company, H. Lundbeck A/S, a Danish aktieselskab (“Parent”), Lundbeck LLC, a Delaware limited liability company and an indirect wholly owned subsidiary of Parent (“Payor”), and Langkawi Corporation, a Delaware corporation and a direct wholly owned subsidiary of Payor (“Purchaser”), Purchaser merged with and into the Company, with the Company surviving the merger as a direct wholly owned subsidiary of Payor (the “Merger”).

In connection with the Merger, and by filing this Post-Effective Amendment, the Company has terminated the offerings of the Registered Securities pursuant to the Registration Statement. Accordingly, the Company hereby terminates the effectiveness of the Registration Statement and, in accordance with an undertaking made by the Company in Part II of the Registration Statement to remove from registration, by means of post-effective amendment, any of the Registered Securities that remain unsold at the termination of the offerings, by filing this Post-Effective Amendment, the Company hereby removes from registration any and all of the Registered Securities that remain unsold under the Registration Statement as of the date hereof. The Registration Statement is hereby amended, as appropriate, to reflect the deregistration of all such securities.
