DEREGISTRATION OF SECURITIES

This Post-Effective Amendment No. 1 (this “Post-Effective Amendment”) relates to the Registration Statement on Form S-3 (File No. 333-233654), initially filed with the Securities and Exchange Commission on September 6, 2019 (as amended, the “Registration Statement”) by Chiasma, Inc., a Delaware corporation (the “Registrant”), pertaining to the registration of up to $200,000,000 of an indeterminate amount of common stock, preferred stock, debt securities, warrants and/or units.

On August 5, 2021, pursuant to the terms of an Agreement and Plan of Merger (the “Merger Agreement”) dated as of May 4, 2021 by and among Amryt Pharma plc, a public limited company incorporated under the laws of England and Wales (“Amryt”), Acorn Merger Sub, Inc., a Delaware corporation and an indirect wholly owned subsidiary of Amryt (“Merger Sub”), and the Registrant, Merger Sub merged with and into the Registrant, with the Registrant surviving the merger as an indirect, wholly owned subsidiary of Amryt (the “Merger”).

As a result of the Merger, the Registrant has terminated any and all offerings of its securities pursuant to the Registration Statement. In accordance with an undertaking made by the Registrant in the Registration Statement to remove from registration, by means of a post-effective amendment, any of the securities registered under the Registration Statement that remain unissued at the termination of the offering, the Registrant hereby removes from registration all securities registered but unsold under such Registration Statement, if any, as of the date hereof.
