The Registrant was unable, without unreasonable effort or expense, to file its Annual Report on Form 20-F for the year ended December 31, 2025 (the “Form 20-F”) by the April 30, 2026 filing date due to delays in finalizing its financial statements and related disclosures in the Form 20-F. The Registrant anticipates that it will file the Form 20-F no later than the fifteenth calendar day following the prescribed filing date.
