Reitar Logtech Holdings Limited (the “Company”) has determined that it will not be able to file its annual report on the Form 20-F for the fiscal year ended March 31, 2025 (the “Form 20-F”) within the prescribed due date without unreasonable effort and expense, because additional time required by Enrome LLP., the newly appointed independent registered public accounting firm (the “Auditor”) of the Company, to complete the audit process. This delay in filing is not the result of any disagreements with the Auditor on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure. The Company expects to file the Form 20-F on or before the extended deadline permitted under Rule 12b-25 under the Securities Exchange Act of 1934, as amended.
