Zovio Inc (the “Company”) is filing this Notification of Late Filing on Form 12b-25 with respect to its Quarterly Report on Form 10-Q for its quarter ended September 30, 2022 (the “Quarterly Report”). The Company is unable to file, without unreasonable effort or expense, its Quarterly Report within the prescribed time period due to the Company’s previously disclosed pending liquidation and dissolution, and the related costs and resources required to complete and review the financial statements to be included in such Quarterly Report. The Company intends to file its Quarterly Report as soon as practical.
