State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

M3-Brigade Acquisition III Corp. (the “Company”) has determined that it is unable, without unreasonable effort or expense, to file its Quarterly Report on Form 10-Q for the fiscal quarter ended June 30, 2023 (the “Form 10-Q”) by the prescribed due date for the reasons described below.

The Company has determined that certain information required to prepare a complete filing of its Form 10-Q could not be obtained in a timely manner without unreasonable expense and effort and that, as a result, the Company will be unable to file its Form 10-Q by the prescribed due date. The Company is in the process of completing the review of this information and expects to file its Form 10-Q on or before the 5^th calendar day following the prescribed due date.
