The Registrant’s has determined that it is unable, without unreasonable effort or expense, to file its Quarterly Report on Form 10-Q for the period ended June 30, 2025 (the “Quarterly Report”) by the prescribed due date for the reasons described below:

The Company requires additional time to complete the final review of the disclosures in the Quarterly Report. The Company is working diligently to complete the Quarterly Report and, in accordance with Rule 12b-25 of the Securities Exchange Act of 1934, the Company will file its Form 10-Q no later than the fifth calendar day following the prescribed due date.
