State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

Juniper II Corp. (the “Company”) is filing this Notification of Late Filing on Form 12b-25 with respect to its Quarterly Report on Form 10-Q for the period ended March 31, 2023 (the “Quarterly Report”). The Company has recently experienced unanticipated delays in its third-party services providers’ clearance of internal procedures necessary to prepare a complete filing of the Quarterly Report in a timely manner. The Company is working diligently with its third-party service providers to complete the Quarterly Report as soon as possible; however, given extraordinary circumstances impacting the availability of third-party service providers involved with the review of the Company’s financial statements, the Company is unable to complete and file the Quarterly Report by the required due date of May 15, 2023 without unreasonable effort and expense. The Company does, however, expect to file such report within five calendar days thereof.

The Company intends to file the Quarterly Report with the Securities and Exchange Commission as soon as practicable and currently expects to do so within the five-day extension period afforded by Rule 12b-25 under the Securities Exchange Act of 1934, as amended.
