The registrant has experienced delays in completing its Quarterly Report on Form 10-Q for the three months ended March 31, 2024, within the prescribed time period due to delays in completing its audit of its financial statements for the year ending December 31, 2023, assembling the financial information required to be reviewed by the registrant’s independent certifying accountant, and in completing the accounting of transactions affecting the registrant, and as a result, the independent certifying accountant has not completed its review of the registrant’s financial statements for the three months ended March 31, 2024.
