State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

As previously reported by Eloxx Pharmaceuticals, Inc. (the “Company”) in its Form 12b-25 (NT 10-K) filed with the Securities and Exchange Commission on April 1, 2024, the Company was not able to file its Annual Report on Form 10-K for the fiscal year ended December 31, 2023 (the “Form 10-K”) because the Company was unable to allocate the financial resources necessary to engage its independent public accounting firm to perform an audit of the Company’s financial statements for the year ended December 31, 2023 (the “2023 Financial Statements”) to be included in the Form 10-K. Such financial constraints are ongoing, and the Company is unable to engage its independent public accounting firm to conduct a review of the unaudited condensed consolidated financial statements (the “First Quarter Financial Statements”) to be included in the Company’s Quarterly Report on Form 10-Q for the quarterly period ended March 31, 2024 (the “Form 10-Q”). Therefore, the Company is unable to File the Form 10-Q within the prescribed time period without unreasonable effort at expense.

The Company cannot predict at this time if and when the review of the First Quarter Financial Statements will be completed and if and when it will file the Form 10-Q.

The Company expects to report that it had cash and cash equivalents of $0.8 million as of March 31, 2024, as compared to cash and cash equivalents of $4.9 million as of March 31, 2023. The Company anticipates that there will be a significant increase in the Company’s net loss and accumulated deficit for the quarter ended March 31, 2024 as compared to the quarter ended March 31, 2023, however, the Company cannot provide a reasonable estimate of such results because the Company continues to lack the financial resources necessary to prepare its First Quarter Financial Statements.

Management anticipates that it will be disclosing in the Form 10-Q substantial doubt about the Company’s ability to continue as a going concern as the Company does not currently have sufficient cash resources to support its planned operations for at least 12 months from the expected issuance date of the First Quarter Financial Statements contained in the Form 10-Q.
