BT Brands, Inc. (the “Company”) is filing this Form 12b-25 with the Securities and Exchange Commission (the “SEC”) to postpone the filing of its Quarterly Report on Form 10-Q for the period ended September 28, 2025 (the “Form 10-Q”) beyond November 12, 2025, the prescribed due date for such filing, because the Company was unable to obtain financial information from third party providers on a timely basis without unreasonable expense or effort. The Company expects to file its Form 10-Q on or before the fifth calendar day following the prescribed due date.
