TruGolf Holdings, Inc. (the “Company”) determined that it was unable, without unreasonable effort or expense, to file its Annual Report on Form 10-K for the year ended December 31, 2025 (the “Form 10-K”) by the prescribed filing date because the Company requires additional time to complete certain items with respect to the financial statements to be included in the Form 10-K, including the completion of certain calculations and disclosures related to a reverse stock split of the Company’s Class A common stock, par value $0.0001.
