State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be ﬁled within the prescribed time period.

The Company is unable to file its Annual Report on Form 10‑K for the year ended December 31, 2025, within the prescribed time period without unreasonable effort or expense because our independent auditor discussed with us the possibility of a going concern issue, management needs more time to assess the repercussions and any necessary remediation efforts. That assessment includes discussions with third-party tax advisors and review of a cost-reduction plan.

The Company experienced a decline in net sales, incurred operating losses and negative cash flows from operating activities during the year ended December 31, 2025, which caused liquidity constraints.

The Company expects to file the Form 10‑K on or before the fifteenth calendar day following its prescribed due date as permitted under Rule 12b‑25.
