State below in reasonable detail the reasons why Forms 10-Q, 10-K, 20-F, 11-K, 10-Q, N-SAR, or the transition report portion thereof, could not be filed within the prescribed time period.

The registrant has experienced delays in completing its Annual Report on Form 10-K for the year ended December 31, 2024, within the prescribed time period, due to delays in assembling the financial information required to be reviewed by the registrant’s independent auditor, and in completing the accounting of certain transactions affecting the registrant. The delay could not be eliminated without unreasonable effort or expense.

The registrant plans to file its Annual Report on Form 10-K for the year ended December 31, 2024, on or before the fifteenth day following the prescribed due date.

During 2024, the Company exited properties located in the Miami, Florida, New Orleans, Louisiana and Los Angeles, California. The strategy developed by the Company was to streamline operations and get scale in New York City as a concentrated operator. The decrease in revenue is due to properties no longer operated by the Company. More time is required to reasonable document the changes in revenue. The remaining properties operated in 2024 represent New York City, New York.
