Karman Holdings Inc. (the “Company”) has determined that it is not in a position to file its Form 10-K within the prescribed time period without unreasonable effort or expense, as additional time is required to complete certain procedures in connection with the preparation and audit of its consolidated financial statements. However, the Company anticipates filing its Form 10-K well within the fifteen-calendar-day extension period.

Management does not anticipate any material changes to the financial information furnished with the Form 8-K filed by the Company on March 25, 2026.
