State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

Independence Holdings Corp. (the “Company”) has determined that it is unable, without unreasonable effort or expense, to file its Annual Report on Form 10-K for the fiscal period ended December 31, 2021 (the “Annual Report”) by the prescribed due date for the reasons described below.

The Annual Report could not be filed within the prescribed time period due to difficulties finalizing the materials required to complete the Company’s Annual Report. The Company is working diligently to complete the Annual Report as soon as possible. The Company expects to file such Annual Report within fifteen calendar days thereof.
