State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

The annual report of Gulf Resources, Inc. (the “Company”) on Form 10-K could not be filed within the prescribed time period due to the fact that the Company requires additional time to finalize its financial statements, including accompanying footnote disclosures to be included in such annual report on Form 10-K. Accordingly, the Company has determined that it is unable to finalize its financial results as well as the disclosure requirements of Form 10-K by the prescribed due date without unreasonable expense or effort.

The Company is working diligently to complete such tasks. The Company expects to file the Form 10-K within the 15 calendar-day period permitted pursuant to Rule 12b-25.
