EBET, Inc. (the “Company”) determined that it was unable, without unreasonable effort or expense, to file its Annual Report on Form 10-K for the year ended September 30, 2023 (the “Form 10-K”) by the prescribed filing date because the Company requires additional time to complete certain items with respect to the financial statements to be included in the Form 10-K. The Company expects to file such report within fifteen calendar days of the prescribed filing date.

For the year ended September 30, 2023, the Company expects to reflect a significant decrease in revenue and increase in net loss compared to the year ended September 30, 2022. For the nine months ended June 30, 2023, revenues were $33.9 million compared to $44.3 million for the nine months ended June 30, 2022. Net loss for the nine months ended June 30, 2023 was $55.3 million compared to a net loss of $29.7 million for the same period in the prior year. The Company does not expect to report materially superior results of operations for the year ended September 30, 2023.
