Ahren Acquisition Corp. (the “Registrant”) has determined that it is unable to file its Annual Report on Form 10-K for the year ended December 31, 2021 (the “Annual Report”) within the prescribed time period without unreasonable effort or expense because the Registrant requires additional time to prepare and review certain information required to be included in the Annual Report. The Registrant anticipates that it will file its Annual Report within the fifteen-day extension period provided by Rule 12b-25 of the Securities Exchange Act of 1934 as amended.
